Bengaluru is India's technology and startup capital. Delhi NCR businesses buy software and IT services from Bengaluru vendors, sell to Bengaluru technology companies, and raise money from Bengaluru-based investors. Many of these contracts choose Bengaluru as the seat of arbitration, sometimes with institutional rules. Bengaluru businesses, in turn, have customers, vendors and offices in NCR.
This page is for Delhi NCR businesses with Bengaluru counterparties or Bengaluru-seated arbitrations, and for Bengaluru businesses with NCR disputes. We handle Bengaluru matters from Delhi NCR, with associate counsel in Bengaluru for filings and appearances. In short: for domestic arbitrations seated in Bengaluru, Section 9 and Section 34 petitions go to the Bengaluru commercial courts, because the Karnataka High Court has no ordinary original civil jurisdiction for commercial matters; Section 11 appointments, international matters and appeals go to the High Court; companies registered in Karnataka come under the NCLT Bengaluru bench; and MSME suppliers file before the council of their own location.
Technology disputes need fast action on data, code and access. We plan those steps first.

IT and SaaS disputes with Bengaluru vendors
In disputes with Bengaluru IT vendors, the key documents are the statement of work, the acceptance clause, the change request process and the limitation of liability. The project's own records, such as trackers, sprint boards, commit histories and test reports, usually decide who caused delays and whether the work was accepted. Preserve these records as soon as a dispute looks likely, since access to the vendor's systems may be cut off.
Where the vendor holds your data or code, and the contract gives you rights to them, a Section 9 petition in the Bengaluru commercial court can seek orders for preservation and handover, often on condition that undisputed fees are paid. See IT and software contract arbitration.
Startup and investor disputes
Many startup shareholders' agreements are seated in Bengaluru, often with institutional rules. Disputes about founder exits, vesting, investor consent rights, put options and information rights are contractual and generally arbitrable. Oppression and mismanagement claims go to the NCLT Bengaluru bench, if the company is registered in Karnataka. Where a dispute has both elements, plan the forum carefully to avoid parallel proceedings. See shareholders' agreement.
Laws and rules that apply
Sections 2(1)(e), 9, 11, 34 and 37.
Bengaluru commercial courts.
Electronic records and personal data.
NCLT jurisdiction for oppression and company matters.
Council jurisdiction by supplier's location.
A Gurugram retailer and a Bengaluru software vendor
Here's a made-up example. A Gurugram retail chain hired a Bengaluru vendor to build an e-commerce platform, with a contract seated in Bengaluru. After a delayed launch, the retailer withheld the final milestone, and the vendor threatened to take the platform offline and withhold the source code, which the contract said belonged to the retailer on payment of each milestone.
We filed a Section 9 petition in the Bengaluru commercial court, with associate counsel, offering to deposit the disputed milestone in court. The court restrained the vendor from disrupting the platform and directed handover of the code for paid milestones, with the deposit held pending arbitration. The arbitration later found that the delay was shared, and the retailer paid part of the deposited amount.
How we work
We are a litigation and advisory practice led by Advocate BK Singh, with offices in Dwarka (New Delhi) and Vaishali (Ghaziabad), working with associate counsel in Bengaluru. This is what you can expect:
- Technology understanding: software, SaaS and data disputes.
- Fast urgent relief: data, code and access protected early.
- Delhi-based coordination: strategy and drafting from NCR.
- Cost clarity: associate counsel fees agreed in advance.
- Written fee terms: agreed stage by stage, never linked to the outcome.
Mistakes in Delhi–Bengaluru disputes
- Filing a domestic Section 34 petition in the Karnataka High Court
- Not preserving project records before access is cut
- Filing in Delhi for a Bengaluru-seated arbitration
- Ignoring the limitation of liability clause
- Missing the NCLT bench for Karnataka companies
- Agreeing Bengaluru seats without considering cost
Bengaluru buyers facing NCR MSME claims
Bengaluru technology companies often buy hardware, components, services and content from MSMEs in Delhi NCR. If they pay late, they may face references before the councils of Uttar Pradesh, Haryana or Delhi, where the suppliers are located. They should respond promptly, check the supplier's registration and the dates, verify limitation for the arbitration stage, and use conciliation to settle genuine debts. A council award can be challenged only after depositing 75% of the amount. See MSME claim defence.
Employment and ESOP disputes
Bengaluru's technology sector produces many senior employment and ESOP disputes: terminated executives claiming severance and bonuses, vested options cancelled on exit, and employers claiming breach of confidentiality. Senior employees' contracts often have arbitration clauses, sometimes with a Bengaluru seat. Post-employment non-competes are generally void under Section 27, but confidentiality can be enforced. See employment contract arbitration.
Enforcing against Bengaluru assets
Technology companies often have few physical assets but significant receivables and bank balances. An award holder can file execution in the Bengaluru court with jurisdiction over those assets, even if the arbitration was seated in Delhi (Sundaram Finance v Abdul Samad, 2018). Garnishee orders against the debtor's customers who owe it money can be effective. Identify the debtor's banks and major customers early.
Choosing a seat for NCR–Bengaluru contracts
When contracting with a Bengaluru technology company, consider proposing a Delhi seat, or a neutral institutional clause with online hearings, such as DIAC, IIAC or the Bengaluru centre, with the seat in one city. State the seat clearly and distinguish it from the venue. For SaaS and IT contracts, also include clear data return, source code and transition clauses, which make urgent relief easier to obtain. See arbitration clause drafting.
Working with us on Bengaluru matters
We meet clients at our Dwarka or Vaishali offices or by video. Associate counsel in Bengaluru handle filings and appearances, with our team attending key hearings in person or by video. Arbitrations themselves are often run largely online. We agree a budget, including associate counsel fees, at the start, and send updates after every hearing.
SaaS subscriptions and service levels
NCR businesses subscribe to SaaS products from Bengaluru companies for CRM, HR, accounting, logistics and other functions. Disputes arise over downtime and service credits, data access after non-payment, auto-renewals and price increases, and migration on termination. Subscription terms are usually standard form, with arbitration clauses seated in Bengaluru and liability caps. Keep records of incidents and support tickets, claim service credits as the terms require, and plan data export before termination.
Global capability centres and outsourcing
Many multinationals run global capability centres in Bengaluru and contract with Indian vendors for development, testing and support. NCR vendors serving these centres often sign master services agreements governed by Indian law with Bengaluru seats, or foreign law with foreign seats. Disputes concern scope, staffing, rate cards, service levels and termination. Read the governing law and seat clauses carefully, since they decide whether the dispute is in Bengaluru, Delhi or abroad.
Section 9 relief in Bengaluru
Courts in Bengaluru grant urgent orders in technology disputes where the contract and evidence support them: preservation of data and code, restraint on misuse of confidential information, continued access to systems on payment of undisputed amounts, and protection against invocation of bank guarantees on the narrow grounds. Prepare a clear account of the systems involved, the rights under the contract, and the harm that would follow without an order. See commercial injunction.
Pre-institution mediation in Bengaluru
Commercial suits without urgent relief in the Bengaluru commercial courts require pre-institution mediation under Section 12A through the legal services authority. Many technology disputes over unpaid invoices settle at this stage. Where the contract has an arbitration clause, the arbitration route applies instead, and Section 12A does not.
Hardware, electronics and procurement
Bengaluru also has a large hardware, electronics design and aerospace supply base. NCR companies buying equipment, components or design services from Bengaluru firms face disputes over specifications, acceptance testing, delivery delays and warranty. As with software, the acceptance clause and test records decide most cases. Where the supplier is an MSME located in Karnataka, it may file before the Karnataka council, despite an arbitration clause.
Biotech and research contracts
Bengaluru's biotechnology and research organisations sign contract research, clinical services, licensing and collaboration agreements with companies across India. Disputes concern milestones, data ownership, confidentiality and publication rights. Contractual disputes are arbitrable, while questions of patent validity are not. Data ownership and confidentiality clauses should be read closely, since they often decide what each party can use after the relationship ends. See IP licensing arbitration.
Founder disputes across cities
Some startups have founders in NCR and the company registered in Karnataka, or the reverse. Where a founder dispute arises, the company's registered office decides the NCLT bench for oppression claims, while the shareholders' agreement's seat decides the arbitration. Plan both together, and avoid filing in the wrong forum, which wastes time and can affect interim relief.
