Noida has grown from an industrial township into one of India's largest centres for IT and electronics manufacturing, with thousands of small and medium units in its sectors and phases, large corporate campuses along the Expressway, and extensive residential and commercial real estate. Its disputes are as varied: IT services and software fees, electronics and component supply, garments and exports, construction and fit-out, commercial leases, and disputes with the Noida Authority over allotments and dues.
This page is for Noida businesses and individuals with arbitration or commercial disputes, and for others whose contracts are seated in Noida. We serve Noida from our Vaishali office in Ghaziabad. In short: for Noida-seated arbitrations, Section 9 and 34 petitions go to the commercial court for Gautam Buddh Nagar at the district courts in Surajpur, Greater Noida, at any value. Section 11 appointments and appeals go to the Allahabad High Court at Prayagraj. Noida MSME suppliers file before the UP council notified for the district.
If your Noida company's contract names Delhi as the seat, Delhi courts apply instead. Many Noida contracts do.

It also executes decrees and awards against assets in the district. See Ghaziabad and Noida commercial courts.

IT and electronics disputes in Noida
Noida's IT and IT-enabled services companies, from startups to large firms, often have disputes with clients over unpaid fees, scope creep, change requests, acceptance of deliverables and service level penalties. These contracts usually contain arbitration clauses, frequently seated in Delhi, Noida or Bengaluru, and sometimes abroad for foreign clients. The key evidence is the statement of work, change requests, acceptance emails and timesheets. Clauses deeming deliverables accepted if not rejected within a fixed time are often decisive.
Noida's electronics and component manufacturers, many of them MSMEs, supply large brands and contract manufacturers. Their disputes are mostly about unpaid invoices and quality rejections. Where they are registered micro or small enterprises, the UP council route often beats arbitration under the buyer's terms, because of the 45-day rule, Section 16 interest and the 75% deposit on challenges.
Real estate and authority disputes
Noida and Greater Noida have seen extensive real estate development, much of it on land leased by the Noida Authority, the Greater Noida Industrial Development Authority and the Yamuna Expressway Industrial Development Authority. Disputes arise between developers and contractors over unpaid bills and delays; between land owners and developers under collaboration or development agreements; between developers and the authorities over dues, time extensions and cancellations; and between developers and buyers.
Contract disputes between private parties usually go to arbitration where the agreement provides. Disputes with the authorities over allotment, lease conditions and cancellation are often challenged by writ in the Allahabad High Court, though some authority contracts contain arbitration clauses. Developers in financial distress may also be before the NCLT, and buyers before UP RERA. We map these forums before choosing one. See real estate arbitration.
Laws and rules that apply
The main law for Noida-seated arbitrations.
Commercial court at Gautam Buddh Nagar and appeals.
UP council claims for Noida suppliers.
The framework for the Noida and Greater Noida authorities.
NCLT Allahabad for UP-registered companies.
An IT firm's unpaid milestones
Here's a made-up example. A Noida software firm built a mobile application for a Mumbai retail chain under a master services agreement with an arbitration clause seated in Noida. The chain refused to pay the last two milestones, worth ₹46 lakh, saying the app had bugs, though it had launched the app publicly three months earlier.
The MSA said deliverables were deemed accepted if not rejected in writing within ten business days. The chain had never sent a rejection. We sent an arbitration notice proposing three names. The chain did not respond, and we filed a Section 11 petition in the Allahabad High Court, which appointed a retired judge from Noida.
Hearings were held in Noida and by video, so the chain's Mumbai team did not need to travel. The arbitrator found the milestones accepted and awarded the fees with interest. The chain paid rather than file a Section 34 petition at Surajpur.
How we work
We are a litigation and advisory practice led by Advocate BK Singh, serving Noida from our Vaishali (Ghaziabad) office, with another office in Dwarka (New Delhi). This is what you can expect:
- Sector knowledge: IT, electronics, garments and real estate disputes.
- District and High Court: Surajpur and Prayagraj, coordinated.
- MSME focus: council claims for Noida suppliers.
- Delhi access: for Noida contracts seated in Delhi.
- Written fee terms: agreed stage by stage, never linked to the outcome.
Mistakes Noida businesses make
- Assuming Noida courts apply when the seat is Delhi
- Not sending written rejections of deliverables within the contract's time
- Ignoring deemed acceptance clauses
- Treating an authority's cancellation as a pure contract dispute
- Not registering on Udyam before supplying
- Filing a Section 34 petition in the High Court
Commercial leases and office space in Noida
Noida's office parks along the Expressway and in Sectors 62, 63, 125 to 144 and Greater Noida's knowledge parks have produced a steady flow of commercial lease disputes: unpaid rent and maintenance, early exit during lock-in periods, refund of security deposits, fit-out reimbursement, and disputes over escalation clauses. Leases for large spaces usually contain arbitration clauses.
For tenants, the key documents are the lease, the handover note and photographs of the premises at exit. For landlords, the lock-in and notice clauses decide what can be claimed. Where the leased premises are on land held from the Noida Authority, authority rules on sub-leasing and use may also be relevant. See lease and rent arbitration.
Export and garment units in Noida
Noida's garment, handicrafts and electronics exporters deal with buyers in Europe, the United States and the Middle East. Their contracts may have arbitration clauses seated abroad, seated in India under an institution, or no clause at all. Disputes include cancelled orders, rejected shipments, chargebacks, and unpaid invoices under open-account or documentary credit terms.
Where the contract is with a foreign buyer and seated in India, the arbitration is an international commercial arbitration; Section 11 appointments go to the Supreme Court. Where it is seated abroad, the foreign seat's law applies, and Indian courts can still grant interim relief under Section 9 for assets in India. Export credit insurance claims, through ECGC or private insurers, often run alongside. See import and export disputes and international arbitration.
Working with us from Noida
Our Vaishali office is a short drive from most of Noida, and many Noida clients prefer to work with us by video and WhatsApp, meeting in person only for key decisions. For hearings at Surajpur, we coordinate dates so that clients attend only when their presence is needed. For High Court work at Prayagraj, associate counsel appear on routine dates and many hearings are by video.
Greater Noida, the Yamuna Expressway and industrial plots
Beyond Noida itself, Greater Noida and the Yamuna Expressway region have large industrial, institutional and residential developments on land allotted by the Greater Noida Industrial Development Authority and the Yamuna Expressway Industrial Development Authority. Many businesses here hold industrial plots on long leases with conditions on construction, use and transfer.
Disputes over these plots often involve both private and public law. A dispute between a plot holder and a contractor building its factory is a private contract dispute, usually arbitrable. A dispute between a plot holder and a buyer of its leasehold rights may need the authority's consent for transfer. A cancellation of allotment by the authority for non-construction is usually challenged by writ in the Allahabad High Court, sometimes after an appeal within the authority. Where an award or decree is to be executed against a debtor's leasehold plot, the authority's rules on transfer can affect the sale stage. We look at the lease deed and the authority's regulations before advising.
Electronics manufacturing and contract disputes
Noida and the Yamuna Expressway belt have become major centres for mobile phone and electronics manufacturing, with large contract manufacturers and hundreds of component suppliers. Contracts in this sector often involve tooling agreements, supply agreements with price revision clauses, quality agreements with rejection and chargeback procedures, and confidentiality and IP terms.
Typical disputes include chargebacks for alleged defects, cancellation of forecast volumes after tooling investment, unpaid invoices during customer transitions, and disputes over ownership of tooling and moulds. The quality agreement and the rejection procedure usually decide whether a chargeback stands; a rejection not raised within the agreed time and procedure is hard to sustain. Tooling ownership turns on the purchase order and payment terms for the tooling. Many suppliers here are MSMEs, and the council route is often available for unpaid invoices.
NBFC and consumer loan arbitrations in Noida
Noida's large salaried population means many personal and consumer loans, and with them, loan arbitration notices from NBFCs and fintech lenders. Borrowers often receive notices by email or SMS from online platforms, with hearings fixed within days.
The rules are the same as elsewhere: a lender cannot appoint a sole arbitrator by itself, a borrower must receive proper notice, and penal charges must comply with RBI rules. For awards seated in Noida, a challenge goes to the commercial court at Surajpur. For awards seated elsewhere but being executed against Noida assets, the challenge goes to the seat court, while objections to execution are raised in the Surajpur court. See bank and NBFC loan arbitration.
Builder and contractor disputes in Noida projects
Noida and Greater Noida's residential and commercial projects involve main contractors, sub-contractors, MEP contractors, façade specialists and suppliers, under contracts that usually contain arbitration clauses. When projects stall, as many did when developers faced financial difficulties, contractors are left with unpaid running bills, withheld retention money and invoked guarantees.
The first question is whether the developer is in insolvency. If an insolvency petition has been admitted, the moratorium stops the arbitration, and the contractor must file a claim with the resolution professional. If not, the contractor can start arbitration and, where guarantees are being invoked, seek urgent relief under Section 9 at Surajpur for Noida-seated contracts. Construction claims are won on records: measurement books, hindrance registers and correspondence. See construction arbitration.
Startups and IT companies registered in Noida
Many Noida startups and IT companies are registered in Uttar Pradesh, so their company law and insolvency matters go to the NCLT Allahabad bench at Prayagraj. Others are registered in Delhi, and go to NCLT New Delhi. Before filing an oppression petition or an insolvency application against a Noida company, check its registered office in the MCA records; the operational address and the registered office are often different. Shareholder agreements of Noida startups often have arbitration clauses seated in Delhi, Noida or Bengaluru, which decide where the contractual claims go.
