Gurugram is home to corporate headquarters, IT and consulting firms, startups, auto component suppliers in Manesar and IMT, logistics hubs along the expressways, and large real estate projects. Its businesses sign many contracts with arbitration clauses, and many of those contracts name either Gurugram or New Delhi as the seat. Which one your contract names decides where any court work happens.
This page is for Gurugram companies, founders, suppliers and individuals with arbitration or commercial disputes. We serve Gurugram from our Dwarka office, a short distance away. In short: for Gurugram-seated arbitrations, Section 9 urgent relief and Section 34 challenges go to the commercial court at the Gurugram district courts, at any value, because the Punjab and Haryana High Court has no ordinary original side for these matters. Section 11 appointments and appeals go to the High Court at Chandigarh. If the seat is New Delhi, Delhi courts apply.
Gurugram's company disputes, especially shareholder and co-founder disputes in startups, are a large part of our work here, along with IT services fees, supply disputes and commercial leases.

Gurugram's courts and forums
For arbitrations seated in Gurugram, the "Court" under Section 2(1)(e) is the commercial court at the Gurugram district courts. It hears Section 9, Section 29A and Section 34 matters at any value, and executes decrees and awards against assets in the district. Appeals go to the commercial appellate division of the Punjab and Haryana High Court at Chandigarh, which also hears Section 11 petitions. See Gurugram and Faridabad commercial courts and Punjab and Haryana High Court.
Companies registered in Haryana come under the NCLT Chandigarh bench for insolvency and oppression. Gurugram MSME suppliers approach the Haryana council notified for their district. Pre-institution mediation for commercial suits is through DLSA Gurugram. Real estate buyers' complaints go to the Haryana RERA at Gurugram.
If the contract names New Delhi as the seat, the Delhi High Court or Delhi district commercial courts apply instead, depending on value. Many Gurugram contracts do, because the counterparty is in Delhi or because Delhi is seen as a neutral seat.

Startup and shareholder disputes in Gurugram
Gurugram has one of India's densest startup ecosystems, and with it, shareholder disputes. Co-founders fall out over strategy, roles and equity. Investors exercise board rights, veto rights and put options. Founders are removed as CEO and dispute the vesting of their shares. Later funding rounds trigger anti-dilution and liquidation preference disputes.
Many of these companies are registered in Delhi or Haryana, and their SHAs often provide for arbitration seated in New Delhi, Gurugram, Mumbai or Singapore. The SHA's clause decides where contractual claims go; the company's registered office decides which NCLT bench hears oppression petitions. A Gurugram startup registered in Delhi goes to NCLT New Delhi, not Chandigarh.
Our approach starts with the founder's or investor's real goal, which is usually a fair exit or a clear division of control, and uses the legal routes to get there. See shareholder and founder disputes and startup legal services.
Manesar, IMT and the auto supply chain
The industrial belts of Manesar, IMT Manesar, Bawal and Dharuhera host a large auto and engineering supply chain, from tier-one component makers to small machining units. Disputes here are mostly about unpaid invoices, price revisions, rejections and the termination of supply arrangements. Large buyers often use standard purchase terms with long credit periods and arbitration seated in their own city.
For registered micro and small suppliers, the Haryana council route under the MSMED Act overrides those terms for delayed payments, caps credit at 45 days, and adds compound interest at three times the bank rate. For medium suppliers and those not registered, arbitration under the purchase terms, or a commercial suit, is the route. Either way, written records of acceptance, and of any rejection, decide most cases.
Laws and rules that apply
The main law for Gurugram-seated arbitrations.
Commercial court at Gurugram and appeals.
Oppression and mismanagement before the NCLT.
Haryana council claims for Gurugram suppliers.
NCLT Chandigarh for Haryana-registered companies.
A co-founder exit in Cyber City
Here's a made-up example. Three co-founders ran a Gurugram fintech startup, registered in Haryana, with a venture investor holding 22%. One co-founder, holding 18%, was removed as CTO and from the board after disagreements. The SHA had a Gurugram-seated arbitration clause and a good-leaver and bad-leaver mechanism for founder shares.
The other founders said he was a bad leaver, which would let them buy his shares at face value. He said he had been removed without cause, making him a good leaver entitled to fair market value. We started arbitration under the SHA and filed a Section 9 petition in the Gurugram commercial court to restrain a planned share transfer pending the arbitration. The court restrained the transfer.
With the transfer blocked, the parties went to mediation with the investor's help, and agreed that he would be treated as a good leaver for 70% of his vested shares, bought back at an independent valuation in two tranches.
How we work
We are a litigation and advisory practice led by Advocate BK Singh, serving Gurugram from our Dwarka (New Delhi) office, with another office in Vaishali (Ghaziabad). This is what you can expect:
- Seat checked first: Gurugram or Delhi courts.
- Company disputes: SHA arbitration and NCLT together.
- Supplier claims: MSME council and arbitration.
- Chandigarh coordination: Section 11 and appeals.
- Written fee terms: agreed stage by stage, never linked to the outcome.
Mistakes Gurugram businesses make
- Filing in Gurugram when the seat is New Delhi
- Filing an oppression petition at Chandigarh for a Delhi-registered company
- Signing board resolutions in a founder dispute without advice
- Not keeping written records of acceptance and rejection of supplies
- Filing a Section 34 petition in the High Court
- Missing the 60-day appeal period from the Gurugram court
Commercial leases in Gurugram's office market
Gurugram's office market, from Cyber City and Golf Course Road to Sohna Road and Udyog Vihar, has a high volume of commercial leases with arbitration clauses. Disputes over lock-in periods, exit charges, rent escalation, maintenance charges, fit-out costs and refund of security deposits are common, especially when tenants downsize or relocate.
A lease's lock-in clause usually decides whether the landlord can claim rent for the remaining lock-in period after an early exit. Courts and tribunals have generally enforced such clauses, sometimes treating the amount as liquidated damages subject to reasonableness under Section 74 of the Contract Act. Tenants should document the condition of the premises at handover and the date keys were returned. See lease and rent arbitration.
IT and consulting firms
Gurugram's IT, consulting and digital services firms often face clients who withhold fees, dispute scope, or terminate mid-project. The master services agreement and statements of work, change request records, timesheets and acceptance emails decide most cases. Clauses deeming deliverables accepted if not rejected in writing within a fixed period are powerful, and so are clauses entitling the provider to suspend work for non-payment.
Where the client is a foreign company, the arbitration may be international; if seated in India, appointments go to the Supreme Court, and if seated abroad, the foreign seat's rules apply. For domestic clients, Delhi and Gurugram seats are common. See IT and software contract arbitration.
Working with us from Gurugram
Our Dwarka office is close to Gurugram via the Dwarka Expressway, and many Gurugram clients meet us there or by video. Corporate clients often prefer to share documents through their own data rooms, which we work with. For hearings at the Gurugram district courts, we attend in person; for the High Court at Chandigarh, associate counsel and video hearings reduce travel.
Real estate and HRERA alongside arbitration
Gurugram's real estate market has produced disputes before many forums at once. Buyers' complaints against developers for delay and refunds usually go to the Haryana Real Estate Regulatory Authority at Gurugram. Developers' disputes with contractors and consultants usually go to arbitration under their contracts. Land owners and developers under collaboration agreements may have arbitration clauses, or may be in civil court. Developers in financial distress may be before the NCLT Chandigarh bench, where homebuyers are financial creditors.
For contractors and suppliers to developers, the key questions are whether the contract's arbitration clause is neutral, whether the developer has other creditors pressing it, and whether a quick award and execution is realistic. Where the developer is already in insolvency, the arbitration stops and a claim must be filed with the resolution professional. See real estate arbitration and NCLT and NCLAT.
Executive and employment contract disputes
Gurugram's corporate headquarters employ many senior executives on contracts with arbitration clauses, covering severance, bonuses, ESOPs, non-compete and confidentiality obligations. Disputes often arise on exit: unpaid variable pay, forfeiture of vested options, clawback of bonuses, and attempts to enforce post-employment restrictions.
Senior executives who are not "workmen" under labour law can usually take contractual disputes to arbitration under their contracts. Post-termination non-compete clauses are generally void under Section 27 of the Contract Act, though restrictions during employment and confidentiality obligations are enforceable. ESOP disputes depend on the scheme documents and board resolutions, which should be obtained early. See executive employment contract arbitration.
Logistics and warehousing on the expressways
Gurugram, Manesar and the corridors along the Delhi-Mumbai and KMP expressways host large warehousing and logistics operations. Warehousing agreements, transport contracts and third-party logistics arrangements often contain arbitration clauses. Typical disputes involve unpaid storage and handling charges, damage or loss of goods, liens over stock for unpaid dues, and early termination of long-term warehouse leases.
Where a warehouse operator holds a customer's goods and is unpaid, its right to retain the goods depends on its contract and the law of bailment. Urgent applications under Section 9 are common on both sides: the operator to secure its dues, the customer to release its stock. Courts often balance these by directing a deposit and permitting phased release of goods. Getting the Section 9 application in the right court, Gurugram or Delhi depending on the seat, is the first step.
MSME suppliers in Gurugram and the Haryana council
Gurugram has thousands of micro and small enterprises: IT and digital agencies, printing and packaging units, component makers in Udyog Vihar and Manesar, logistics providers and facility services firms. Many of them supply large corporate buyers on long credit terms. If you are a registered micro or small enterprise, the 45-day cap under Section 15 of the MSMED Act and the compound interest at three times the bank rate under Section 16 apply regardless of your buyer's purchase terms.
You file the claim through the MSME ODR portal before the Haryana council for your district. The council conciliates first and, if that fails, arbitrates. The council route overrides any arbitration clause in the buyer's terms, as the Supreme Court held in Mahakali Foods (2022), and a buyer must deposit 75% of an award to challenge it. For IT and services firms, prepare evidence of when each service or milestone was delivered, because acceptance for services runs from the date of rendering, subject to the buyer's written objection within 15 days. See MSME delayed payment.
Choosing between Delhi and Gurugram as a seat
If you are a Gurugram business drafting new contracts, the choice of seat deserves thought. A New Delhi seat brings the Delhi High Court's commercial division for larger disputes, Section 11 appointments in Delhi, and access to DIAC. A Gurugram seat brings the Gurugram commercial court for all Section 9 and 34 matters, with Section 11 and appeals at Chandigarh. Both work; what matters is choosing deliberately, using the word "seat", and naming an institution or a neutral appointment method. Avoid clauses that name both a "venue" in one city and "exclusive jurisdiction" of courts in another, which invite argument about the seat. See arbitration clause drafting.
