Bengaluru is India's technology capital, home to IT services companies, product startups, research centres and the global capability centres of many multinationals. Many technology, software, SaaS, outsourcing and venture investment contracts choose Bengaluru as the seat of arbitration, and many Delhi NCR businesses have customers, vendors or investors there. The Karnataka High Court, with its principal seat in Bengaluru and benches at Dharwad and Kalaburagi, is the High Court for these matters.
This page is for businesses with Bengaluru or Karnataka seats, or counterparties and assets in Karnataka. In short: Section 11 applications for domestic arbitrations seated in Karnataka go to the Karnataka High Court; because the High Court has no ordinary original civil jurisdiction for commercial matters, Section 9 and Section 34 petitions for domestic arbitrations go to the commercial courts in Bengaluru or the relevant district; for international commercial arbitrations, Section 9 and Section 34 petitions go to the High Court; and commercial appeals go to the High Court's commercial appellate division.

No original side: what it means
Unlike the Bombay, Delhi, Madras and Calcutta High Courts, the Karnataka High Court does not have ordinary original civil jurisdiction for commercial matters. So for domestic arbitrations seated in Bengaluru, the "Court" under Section 2(1)(e)(i) is the principal civil court of original jurisdiction in the district, which for commercial disputes of specified value is the commercial court designated under the Commercial Courts Act. Bengaluru has dedicated commercial courts.
For international commercial arbitrations, Section 2(1)(e)(ii) provides that the Court is the High Court having jurisdiction over the subject matter, so Section 9 and Section 34 petitions in international cases go directly to the Karnataka High Court. This difference matters when the counterparty is foreign, which is common in Bengaluru's technology sector.

Technology and startup disputes
Many Bengaluru-seated arbitrations involve technology: software development and implementation disputes, SaaS subscriptions, IT outsourcing, licence audits, and data and source code handover. Startup and investor disputes are also common, under shareholders' agreements and investment agreements with Bengaluru seats. These disputes often need urgent relief, such as preserving source code or data, restraining misuse of confidential information, or protecting a company's control during a founder dispute.
Section 9 applications in the Bengaluru commercial courts, or the High Court in international cases, can secure such relief quickly where the evidence is clear. See IT and software contract arbitration and shareholder dispute arbitration.
Delhi NCR businesses with Bengaluru seats
Delhi NCR companies often agree to Bengaluru seats in contracts with large technology customers or vendors based there. When a dispute arises, they need to proceed in Bengaluru courts. Most of the work can be done from Delhi, with associate counsel handling filing and appearances, and many hearings by video. Clients rarely need to travel except for key hearings or evidence.
If your contracts routinely choose a Bengaluru seat because the counterparty insists, consider negotiating a neutral seat or an institutional clause with online hearings, to reduce the burden in future disputes.

Court fees for petitions and suits.
Electronic evidence and data issues common in Bengaluru disputes.
A SaaS vendor and a Bengaluru customer
Here's a made-up example. A Noida SaaS company supplied a logistics platform to a Bengaluru e-commerce company under a contract seated in Bengaluru. After 18 months, the customer stopped paying, claiming poor performance, and demanded a full export of its data. The vendor had ₹1.4 crore of unpaid invoices.
We filed a Section 9 petition in the Bengaluru commercial court, with associate counsel, seeking an order that the customer deposit the undisputed invoices, while offering to provide the data export on deposit. The court directed deposit of part of the amount and the data export, balancing both sides' interests. The parties then appointed a sole arbitrator by agreement, avoiding a Section 11 application, and settled during the arbitration.

Mistakes in Karnataka matters
- Filing a domestic Section 34 petition in the High Court
- Filing an international Section 34 petition in a commercial court
- Assuming Delhi courts have jurisdiction over a Bengaluru seat
- Not seeking urgent orders to preserve data or code
- Missing the Section 34 limit while arranging local counsel
- Ignoring the benches at Dharwad and Kalaburagi for other parts of the state
Section 11 practice in the Karnataka High Court
Section 11 applications in the Karnataka High Court follow the same law as elsewhere: after In re Interplay (2023) and SBI General Insurance v Krish Spinning (2024), the court examines only whether an arbitration agreement exists, leaving most other questions to the tribunal. The court commonly appoints retired judges or senior advocates, or refers the appointment to an arbitration centre. The Arbitration and Conciliation Centre in Bengaluru, attached to the High Court, administers many such references.
File a complete application with the contract, the notice invoking arbitration, proof of service and evidence that the other side failed to appoint within 30 days. A well-prepared application is often decided within a few hearings.
The Bengaluru arbitration centre
The Arbitration and Conciliation Centre, Bengaluru (Domestic and International), established under the aegis of the Karnataka High Court, administers arbitrations referred by the court and by parties who choose it. Its rules and fee schedule apply to cases it administers, and its panel includes retired judges and senior lawyers. For parties with Bengaluru-seated disputes, it offers an institutional alternative to ad hoc arbitration, with administrative support and predictable fees.
Data, confidentiality and IP in Bengaluru disputes
Disputes in Bengaluru's technology sector often involve data protection, confidentiality and intellectual property: a vendor holding a client's data, an ex-employee taking code to a competitor, or a partner using shared technology after a relationship ends. Courts can grant orders to preserve data, restrain disclosure, and require return of materials, under Section 9 in arbitration matters or in commercial suits.
The Digital Personal Data Protection Act, 2023, as its rules apply, adds obligations on handling personal data, which affect how data is returned or deleted on termination. Plan the relief sought with these obligations in mind.
Karnataka government contracts
Contracts with Karnataka government departments, the Bangalore Development Authority, the Bruhat Bengaluru Mahanagara Palike, the Karnataka Industrial Areas Development Board and state public sector undertakings often involve arbitration clauses, sometimes with departmental arbitrators. After CORE (2024), unilateral appointment clauses are open to challenge, and contractors can seek neutral appointments under Section 11. Public law issues, such as blacklisting or cancellation of allotments, may be raised by writ petitions in the High Court.
Enforcement in Karnataka
Once an award is enforceable, execution can be filed in any court where the award debtor has assets, under Sundaram Finance v Abdul Samad (2018), without first transferring the award from the seat court. For assets in Bengaluru, execution is filed in the competent civil or commercial court there. Foreign awards are enforced in the Karnataka High Court under Part II for assets within its jurisdiction.
Identify assets early: bank accounts, receivables from Bengaluru customers, property and shares. For technology companies with few physical assets, receivables and bank accounts are often the main targets.
Bengaluru commercial courts in practice
Bengaluru's commercial courts handle a large volume of commercial suits and arbitration petitions. They follow the Commercial Courts Act's timelines for written statements and case management, and case management hearings are used to fix schedules. Section 34 petitions are decided on the arbitral record, with limited scope for new evidence after Emkay Global (2018). For award holders, opposing a stay without deposit and seeking withdrawal of deposits against security follow the same principles as elsewhere. See defend arbitral award.
Karnataka MSME Facilitation Council
Micro and small enterprises located in Karnataka file delayed payment claims before the Karnataka Micro and Small Enterprises Facilitation Council, through the MSME ODR portal. Many Bengaluru suppliers of IT services, components and engineering services are registered MSMEs and can claim interest at three times the bank rate, compounded monthly, against buyers anywhere in India. A Delhi buyer with a Bengaluru MSME supplier may therefore face a reference before the Karnataka council, regardless of the arbitration clause in the contract (Mahakali Foods, 2022).
Choosing Bengaluru as the seat
Technology customers and investors in Bengaluru often propose Bengaluru seats. For a Delhi NCR vendor or startup, a Delhi seat, a neutral institutional seat with online hearings, or at least an institutional clause with clear rules may reduce the cost of future disputes. If a Bengaluru seat is agreed, consider choosing the Bengaluru arbitration centre or another institution, so that appointments do not need a Section 11 application. State the seat clearly and distinguish it from the venue.
Investor and founder disputes
Many startup shareholders' agreements and investment agreements are seated in Bengaluru, with institutional rules such as SIAC or the Bengaluru centre. Disputes about investor rights, founder exits, vesting, put options and information rights are contractual and generally arbitrable. Claims of oppression and mismanagement go to the NCLT Bengaluru bench, which hears company matters for Karnataka. Plan the forum carefully where both kinds of claim exist. See shareholders' agreement.
Section 34 challenges in Bengaluru
Section 34 petitions in the Bengaluru commercial courts, or the High Court in international cases, follow the narrow grounds in the Act as interpreted in Ssangyong (2019) and the 2026 decisions such as MPRDC v Jabalpur Corridor. The record before the tribunal is central, and new evidence is exceptional. Award holders should oppose unconditional stays and seek deposits; award debtors should plan their security early.
Commercial courts across Karnataka
Karnataka has designated commercial courts in Bengaluru and other districts, such as Mysuru, Mangaluru, Hubballi-Dharwad and Belagavi, for commercial suits of specified value and domestic arbitration petitions. A Mysuru-seated arbitration's Section 34 challenge goes to the commercial court there. Appeals go to the High Court, including its benches at Dharwad and Kalaburagi for northern districts.
Industrial areas of the Karnataka Industrial Areas Development Board host many manufacturing and technology units. Disputes about plot allotments and lease conditions are often public law matters for writ petitions, while contractual disputes between private parties go to arbitration or commercial courts.
